NaijaCupid Terms of Service

Welcome to NaijaCupid, operated by LonerTech Ltd, a company incorporated under Nigerian law. These Terms of Service ("Terms", "Agreement") govern your access to and use of our online dating platform, professional matchmaking service, Affiliate Programme, mobile applications, and all related services (collectively, the "Service" or "Platform").

1. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

• "Account" means your registered user profile on NaijaCupid.
• "Affiliate" means any individual or entity that has applied for and been formally approved by NaijaCupid to participate in the Affiliate Programme.
• "Affiliate Account" means the Affiliate's NaijaCupid user account through which the Affiliate accesses the Affiliate Dashboard and Programme features.
• "Affiliate Dashboard" means the section of the Platform through which the Affiliate tracks referrals, conversions, commission earnings, and payout requests.
• "Affiliate Programme" or "Programme" means the NaijaCupid referral and commission scheme described in Sections 15 to 18 of these Terms, through which Approved Affiliates earn Commission on Qualifying Conversions.
• "Application" means the Affiliate's formal request to join the Programme, submitted through the Affiliate Programme application form on the Platform.
• "Approved Affiliate" means an Affiliate whose Application has been formally approved by NaijaCupid in writing or via email notification.
• "Bank Details" means the Nigerian bank account information provided by the Affiliate for the purpose of receiving Commission payouts.
• "Candidate" means any registered NaijaCupid User whom a Matchmaker identifies, shortlists, or contacts as a potential introduction for a Client.
• "Client" means a registered User who has purchased a Matchmaking Package.
• "Commission" means the monetary amount payable to an Approved Affiliate upon a Qualifying Conversion, calculated at the applicable Commission Rate.
• "Commission Rate" means the percentage of a Qualifying Purchase price payable as Commission, as displayed on the Platform and as may be updated by NaijaCupid from time to time.
• "Content" means all text, photographs, images, videos, audio, messages, data, and other materials submitted, posted, or transmitted through the Service.
• "Cookie Window" means the period during which a Referral Click is tracked and attributed to the Affiliate's Referral Link, currently set at thirty (30) calendar days from the date of the Referral Click.
• "Date Arranged" means a first-meeting introduction confirmed between a Client and a Candidate, including agreed venue and time co-ordinated by the Matchmaker.
• "Free Service" means the basic dating features available without payment.
• "Intake Brief" means the partner preference questionnaire completed by the Client following purchase of a Matchmaking Package.
• "Matchmaker" means a NaijaCupid staff member or contractor assigned to manage a Matchmaking Session on behalf of a Client.
• "Matchmaking Package" means the Starter, Standard, or Premium tier purchased by a Client, each with defined session duration, candidate limits, date targets, and other features as described on the Platform.
• "Matchmaking Service" means the professional human-led matchmaking service offered by NaijaCupid through which a dedicated Matchmaker searches for, shortlists, contacts, and arranges introductions with compatible singles on behalf of a Client.
• "Matchmaking Session" means a single purchased instance of the Matchmaking Service, covering a defined window of active matchmaker work as specified in the applicable Matchmaking Package.
• "Minimum Payout Threshold" means the minimum accumulated Commission balance required before an Affiliate may request a payout, currently set at Ten Thousand Naira (₦10,000).
• "Pending Commission" means Commission earned but not yet paid to the Affiliate, subject to the Minimum Payout Threshold, verification, and these Terms.
• "Platform" means the NaijaCupid website at naijacupid.com.ng and all associated pages, services, and applications.
• "Premium Service" means paid subscription features with enhanced dating functionality.
• "Prohibited Promotional Content" means any content described in Section 17 of these Terms that an Affiliate is expressly prohibited from using.
• "Promotional Materials" means any content, post, advertisement, video, message, email, graphic, or other material created by the Affiliate to promote NaijaCupid using the Referral Link.
• "Qualifying Conversion" means a purchase of a NaijaCupid Matchmaking Package or subscription plan by a Referred User that is confirmed, fully paid, not reversed, not refunded, not charged back, and not flagged as fraudulent, and which is attributed to the Affiliate's Referral Link within the Cookie Window.
• "Qualifying Purchase" means the transaction that constitutes a Qualifying Conversion.
• "Referral Click" means a click by a user on the Affiliate's unique Referral Link that redirects to the NaijaCupid Platform.
• "Referral Code" means the unique alphanumeric code assigned to the Affiliate upon approval and embedded in the Referral Link for tracking purposes.
• "Referral Link" means the unique tracked URL assigned to the Affiliate containing the Referral Code, which the Affiliate uses to refer users to the Platform.
• "Referred User" means a user who arrives on the Platform via a Referral Click and makes a Qualifying Purchase within the Cookie Window.
• "Session Window" means the number of calendar days during which the Matchmaker actively works a Matchmaking Session, commencing from submission of the Intake Brief.
• "User", "You", "Your" means any person who accesses or uses the Service, including Clients, Candidates, and Affiliates.
• "User Content" means Content that you submit or upload to the Service.
• "We", "Us", "Our", "NaijaCupid" means LonerTech Ltd, the operator of NaijaCupid.

2. Acceptance of Terms

2.1. By accessing the Service, creating an account, purchasing a Matchmaking Package, applying for or participating in the Affiliate Programme, or using any features of NaijaCupid, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2.2. If you are accessing the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

2.3. We reserve the right to modify these Terms at any time. Material changes will be notified through the Platform or via email. Your continued use after such notification constitutes acceptance of the modified Terms.

3. Eligibility Requirements

3.1. Age Requirement: You must be at least 18 years of age to create an account, use NaijaCupid, purchase any Matchmaking Package, or participate in the Affiliate Programme. By registering, you represent and warrant that you meet this age requirement.

3.2. Legal Capacity: You must have the legal capacity to enter into a binding contract under the laws of the Federal Republic of Nigeria.

3.3. Criminal Background: You represent that you have not been convicted of, or pled no contest to, a felony, indictable offense, or crime involving violence, sexual misconduct, or moral turpitude. You are not required to register as a sex offender with any government entity.

3.4. Account Restrictions: You may maintain only one active account. Creating multiple accounts may result in termination of all accounts and forfeiture of any active Matchmaking Sessions or Affiliate Programme membership without refund or payment of outstanding Commission.

3.5. We reserve the right to verify eligibility and may request government-issued identification or other documentation at our discretion. Failure to provide such documentation may result in suspension or termination of access to the Platform, the Matchmaking Service, and the Affiliate Programme.

3.6. Matchmaking Eligibility: To be eligible to purchase a Matchmaking Package, you must have a complete and accurate NaijaCupid profile, including a current profile photograph, verified email address, and accurate personal details. We reserve the right to decline to provide the Matchmaking Service to any User whose profile we determine is incomplete, misleading, or in violation of these Terms.

4. Account Registration and Security

4.1. Accurate Information: You must provide accurate, current, and complete information during registration and maintain the accuracy of this information throughout your use of the Service. Providing false information — including false age, name, photographs, or relationship status — constitutes a material breach of these Terms and may result in immediate account termination, forfeiture of any Matchmaking Session fees paid, and permanent removal from the Affiliate Programme with forfeiture of any accrued but unpaid Commission.

4.2. Account Credentials: You are responsible for maintaining the confidentiality of your login credentials, including your password. You must not share your account credentials with any third party.

4.3. Account Responsibility: You are solely responsible for all activities that occur under your account, whether authorized by you or not. You agree to notify us immediately at support@naijacupid.com.ng of any unauthorized access or security breach.

4.4. Profile Information: You must not misrepresent your identity, age, current or previous positions, qualifications, relationship status, or affiliations with any person or entity.

5. Acceptable Use Policy

You agree to use NaijaCupid only for lawful purposes and in accordance with these Terms. You agree to conduct yourself respectfully and appropriately when interacting with other users, Matchmakers, NaijaCupid staff, and in all Promotional Materials created as an Affiliate.

6. Prohibited Conduct

You expressly agree NOT to engage in any of the following prohibited activities:

6.1. Illegal Activities:

• Use the Service for any illegal purpose or to violate any local, state, national, or international law.
• Engage in or promote prostitution, human trafficking, or any form of sexual exploitation.
• Facilitate or engage in fraud, theft, money laundering, or other criminal activities.
• Solicit or attempt to solicit login credentials or personal information from other users.

6.2. Commercial Activities (Non-Affiliate):

• Use the Service for commercial purposes, advertising, or solicitation without our express written consent, except through the Affiliate Programme in strict accordance with Sections 15 to 18 of these Terms.
• Promote or sell products, services, or business opportunities.
• Operate any form of pyramid scheme or multi-level marketing.
• Collect user information for marketing purposes or to build competing databases.

6.3. Harassment and Abuse:

• Harass, stalk, threaten, intimidate, or harm any person.
• Send unsolicited bulk messages, spam, or chain letters.
• Engage in hate speech or promote discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Post or transmit violent, graphic, obscene, or sexually explicit content.
• Harass, abuse, threaten, or intimidate any NaijaCupid Matchmaker or staff member.

6.4. Impersonation and Deception:

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Create fake profiles or use photographs that are not of yourself.
• Forge headers or manipulate identifiers to disguise the origin of any content.
• As an Affiliate, misrepresent your relationship with NaijaCupid, claim to be an employee or official representative of NaijaCupid, or make guarantees about the Matchmaking Service that are not expressly stated on the Platform.

6.5. Technical Violations:

• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or computer systems.
• Use any robot, spider, scraper, or automated means to access the Service or generate artificial Referral Clicks or Qualifying Conversions.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Transmit viruses, malware, or any other malicious code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Bypass or tamper with the Referral Link tracking system or the Affiliate Dashboard in any way.

6.6. Matchmaking-Specific Prohibited Conduct:

• Circumvent the Matchmaking Service by directly contacting or attempting to identify a Candidate introduced by your Matchmaker through means outside the Platform.
• Use information obtained through the Matchmaking Service about Candidates for any purpose other than genuine personal relationship pursuit.
• Pressure, coerce, or harass a Candidate who has declined an introduction.
• Share any Candidate information provided by your Matchmaker with third parties.
• Attempt to influence, bribe, or manipulate any Matchmaker to act outside their professional remit.
• Submit chargebacks or payment disputes in bad faith after receiving Matchmaking Service delivery as described in these Terms.

7. User Content and Rights

7.1. Ownership: You retain all ownership rights to your User Content. However, by submitting Content to the Service, you grant us certain rights necessary to operate the Platform.

7.2. License Grant: You grant LonerTech Ltd a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your User Content in connection with operating, developing, providing, promoting, and improving the Service.

7.3. Content Representations: You represent and warrant that: (a) you own or have obtained all necessary rights to submit your User Content; (b) your User Content does not violate any third-party rights; and (c) your User Content complies with these Terms.

7.4. Matchmaking Profile Use: By maintaining a NaijaCupid profile, you expressly consent to your profile being viewed and considered by Matchmakers acting on behalf of other Users as part of the Matchmaking Service. You may opt out of being considered as a Candidate by contacting us at support@naijacupid.com.ng.

7.5. Content Responsibility: You are solely responsible for your User Content. We do not pre-screen Content but reserve the right to review, monitor, and remove Content at our sole discretion.

7.6. Affiliate Promotional Content: As an Affiliate, you retain ownership of original Promotional Materials you create, subject to compliance with these Terms. By creating Promotional Materials that reference NaijaCupid, you grant NaijaCupid a non-exclusive, royalty-free license to share, repost, or feature such materials for promotional purposes. NaijaCupid may require you to remove or amend any Promotional Material at any time at its sole discretion, and you must comply within 24 hours of such request.

8. Content Moderation and Enforcement

8.1. Monitoring: While we do not monitor all User Content, we reserve the right to review, screen, and remove any Content — including Affiliate Promotional Materials — that violates these Terms or is otherwise objectionable.

8.2. Reporting: Users can report violations of these Terms or inappropriate Content through the reporting mechanisms provided on the Platform.

8.3. No Obligation: We have no obligation to monitor Content or user conduct, and we assume no liability for Content or the failure to remove objectionable Content.

8.4. Cooperation with Authorities: We reserve the right to cooperate with law enforcement authorities and comply with valid legal process requiring disclosure of user information or Content, including Affiliate information and transaction records.

9. Subscription Plans and Premium Features

9.1. Free Service: NaijaCupid offers basic dating features at no cost. These features may be limited and subject to change without notice.

9.2. Premium Service: Enhanced dating features are available through paid subscription plans. Premium features may include unlimited messaging, advanced search filters, profile visibility boosts, and other benefits as described on the Platform.

9.3. Plan Details: Current subscription options, pricing, and features are displayed on the Platform at the time of purchase. We reserve the right to modify subscription plans, pricing, and features at any time.

10. Payment Terms

10.1. Payment Authorization: By purchasing a Premium subscription or Matchmaking Package, you authorize us or our third-party payment processor to charge your designated payment method for the applicable fee.

10.2. Billing Cycle (Subscription): Subscription fees are billed in advance for the selected billing period as specified at the time of purchase.

10.3. Auto-Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for successive periods of equal length at the then-current subscription rate. Matchmaking Packages are one-time payments and do not auto-renew.

10.4. Payment Methods: We accept payment methods as displayed on the Platform. You must provide current, complete, and accurate payment information.

10.5. Failed Payments: If payment cannot be charged to your payment method, we may suspend or terminate your Premium subscription and retain any amounts already charged.

10.6. Price Changes: We may change subscription fees at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle after notice is provided. Matchmaking Package prices are fixed at the time of purchase.

10.7. Taxes: All fees are exclusive of applicable taxes, duties, or similar governmental assessments. You are responsible for all such taxes except those based on our net income. Affiliates are solely responsible for declaring and paying any income tax, withholding tax, or other tax obligations arising from Commission payments received from NaijaCupid under Nigerian tax law.

11. Cancellation and Refunds (Subscription)

11.1. Cancellation: You may cancel your Premium subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

11.2. No Refunds: All subscription fees are non-refundable except as required by applicable law or as stated in this section.

11.3. Discretionary Refunds: We may, at our sole discretion, issue refunds or credits on a case-by-case basis, considering factors such as technical errors, service outages, or other exceptional circumstances.

11.4. Consumer Rights: Nothing in these Terms affects your statutory rights under Nigerian consumer protection laws, including the Federal Competition and Consumer Protection Act 2018, to the extent such rights are applicable and cannot be excluded by agreement.

12. Professional Matchmaking Service — Terms and Conditions

12.1. Nature of Service: The Matchmaking Service is a best-efforts, human-led professional introduction service. NaijaCupid assigns a dedicated Matchmaker to search the NaijaCupid member database and, where appropriate, to contact compatible Candidates on the Client's behalf with the objective of arranging a first-meeting introduction. The Matchmaking Service is not a guarantee of finding a romantic partner, entering a relationship, or achieving any specific personal outcome.

12.2. Packages: Matchmaking Packages available at the time of purchase are described on the Platform at naijacupid.com.ng/matchmaking. NaijaCupid reserves the right to modify Package descriptions, pricing, and inclusions for new purchases at any time without notice. Package terms in force at the time of your purchase will govern your Session.

12.3. Intake Brief:

• Following purchase, the Client must complete the Intake Brief within 14 calendar days. Failure to submit the Intake Brief within this period may result in expiry of the Session without refund.
• The Client is responsible for the accuracy of all information provided in the Intake Brief. NaijaCupid accepts no liability for mismatches or unsatisfactory introductions arising from inaccurate or incomplete Intake Brief information provided by the Client.
• The Intake Brief is used solely to guide the Matchmaker's search. It does not constitute a binding specification of the partner NaijaCupid will find, and NaijaCupid makes no representation that a Candidate matching all stated criteria will be identified within the Session Window.

12.4. Matchmaker Assignment:

• A Matchmaker will be assigned within the timeframe specified for the applicable Package following submission of the Intake Brief. Assignment timelines are targets, not guarantees.
• NaijaCupid reserves the right to reassign or replace a Matchmaker at any time without notice to the Client. Reassignment does not entitle the Client to any refund or extension.
• Matchmakers are NaijaCupid staff or authorised contractors acting within the scope of their professional role. NaijaCupid is responsible for Matchmaker conduct within these Terms but not for outcomes beyond the defined scope of the Service.

12.5. Session Window:

• The Session Window commences upon the Client's submission of the Intake Brief, not upon payment.
• The Session Window is a period of active effort — it is not a guarantee that any specific result will be achieved by the end of that window.
• NaijaCupid is not responsible for delays caused by the Client's failure to respond to Matchmaker communications, review Candidates, or confirm availability in a timely manner. Such delays do not extend the Session Window.
• If the Client is unresponsive for 5 or more consecutive business days during an active Session Window, NaijaCupid reserves the right to administratively close the Session without refund.

12.6. Candidate Shortlisting and Outreach:

• The Matchmaker will use reasonable professional judgment to identify and shortlist Candidates from the NaijaCupid member database. NaijaCupid does not guarantee that any specific number of Candidates will be shortlisted, contacted, or will respond within the Session Window.
• Outreach to Candidates is conducted by the Matchmaker on behalf of the Client. The Matchmaker acts as an intermediary and does not represent or impersonate the Client.
• Candidate participation in the introduction process is entirely voluntary. NaijaCupid cannot compel any Candidate to respond or agree to a meeting. A Candidate's refusal to engage does not entitle the Client to any refund or remedy.
• The Client is entitled to pass on (reject) a limited number of shortlisted Candidates as specified in the applicable Package. Excessive or unreasonable passes beyond the Package allowance may, at NaijaCupid's sole discretion, result in administrative closure of the Session without refund.

12.7. Date Arrangement:

• Where a Candidate agrees to a first-meeting introduction, the Matchmaker will co-ordinate the venue, date, time, and contact exchange. The specific venue and arrangements are subject to mutual agreement between the Client and Candidate.
• NaijaCupid is not responsible for the conduct, safety, reliability, or suitability of any Candidate who participates in a Date Arranged through the Service.
• Confirmation of a Date Arranged constitutes successful delivery of the primary objective of a Matchmaking Package. Whether the date leads to any further relationship is outside the scope of the Service.

12.8. Session Closure:

• Sessions are closed upon: (a) the arrangement of the maximum number of dates specified in the Package; (b) expiry of the Session Window; (c) administrative closure by NaijaCupid; or (d) Client request.
• Upon closure, the Matchmaker will provide a written summary to the Client. This summary is for informational purposes and does not create any further obligation on NaijaCupid.
• Closed Sessions cannot be reopened. A new Matchmaking Package must be purchased for further service.

12.9. Confidentiality of Matchmaking Sessions:

• NaijaCupid will not disclose the Client's identity, contact details, or profile to any Candidate until a Date Arranged has been confirmed by both parties.
• The Client agrees to keep all Matchmaker communications, session summaries, and Candidate information strictly confidential and to use such information solely for the purpose of genuine personal relationship pursuit.
• The Client must not share, publish, or disclose any information about Candidates or the operation of the Matchmaking Service to third parties without NaijaCupid's prior written consent. Breach of this clause may result in immediate Session termination without refund and potential legal action.

12.10. Candidate Consent and Data:

• By maintaining a NaijaCupid profile, all Users consent to their profile being considered by Matchmakers as part of the Matchmaking Service, as described in Section 7.4.
• Candidates will not be identified by name or profile to the Client until they have agreed to a meeting.
• NaijaCupid processes all User data in accordance with its Privacy Policy and the Nigeria Data Protection Regulation (NDPR).

13. Matchmaking Payments, Refunds, and Outcome Disclaimers

13.1. One-Time Payment: Matchmaking Packages are purchased as a single, one-time payment. There are no recurring charges associated with Matchmaking Packages. Payment is due in full at the time of purchase.

13.2. Non-Refundable Nature: Matchmaking Package fees are non-refundable in the following circumstances, without limitation:

• The Client is dissatisfied with the Candidates shortlisted or contacted by the Matchmaker, provided the Matchmaker acted in good faith within the scope of the Intake Brief.
• No Candidate agreed to a meeting, provided the Matchmaker made reasonable outreach efforts within the Session Window.
• The Client's Session expires without a Date Arranged, for any reason other than a verified technical fault solely attributable to NaijaCupid.
• The Client changes their mind, circumstances, or preferences after purchase.
• The Client failed to submit the Intake Brief within the required timeframe.
• The Client was unresponsive during the Session Window as described in Section 12.5.
• The Session was terminated due to the Client's breach of these Terms.
• A Date Arranged did not lead to a relationship or further contact between Client and Candidate.
• The Client was dissatisfied with the Matchmaker's communication style, process, or summary, provided the Matchmaker fulfilled the core service obligations.
• The Candidate whom the Client met did not meet the Client's personal expectations of attraction, chemistry, or compatibility.

13.3. Pre-Intake Cancellation: If a Client submits a written cancellation request to support@naijacupid.com.ng before submitting the Intake Brief and within 48 hours of purchase, NaijaCupid may, at its sole discretion, issue a credit note of up to 70% of the Package fee, redeemable against a future Matchmaking Package within 6 months. This credit is not transferable and has no cash value.

13.4. Platform Error Refunds: In the event of a verified technical error by NaijaCupid that prevents the Matchmaking Service from being initiated, NaijaCupid will, at its option, either: (a) initiate the Session at no further charge; or (b) issue a full refund. NaijaCupid's determination of whether a technical error occurred is final.

13.5. No Guarantee of Outcome: NaijaCupid expressly does not guarantee, represent, or warrant that:

• Any Candidate will agree to a meeting with the Client.
• A Date Arranged will result in a romantic relationship, friendship, or further contact.
• Any Candidate identified is verified as single, available, honest, safe, or suitable for a relationship.
• The Matchmaking Service will meet the Client's personal, romantic, or emotional expectations.
• Any specific number of introductions will be achieved within the Session Window.

13.6. Chargeback Policy: Initiating a payment chargeback or reversal with your bank or payment provider for a Matchmaking Package fee where the Service has been delivered as described in these Terms constitutes a material breach of this Agreement. NaijaCupid reserves the right to permanently ban any User who initiates an unjustified chargeback, terminate any active Sessions without refund, and pursue recovery of the disputed amount and associated costs through legal proceedings.

13.7. Package Upgrade: A Client may request an upgrade to a higher Matchmaking Package within 48 hours of purchase by contacting support@naijacupid.com.ng. The Client will pay only the price difference between the original and upgraded Package.

13.8. Commission Clawback on Refund: Where NaijaCupid exceptionally authorises a refund of a Matchmaking Package fee in respect of a purchase that generated a Commission payment to an Affiliate, NaijaCupid reserves the right to deduct the corresponding Commission amount from the Affiliate's Pending Commission balance or recover it from any future Commission payment due to the Affiliate. If no future Commission is due, the Affiliate must repay the clawed-back amount to NaijaCupid within 14 days of written demand.

14. Matchmaker Conduct and Service Limitations

14.1. Scope of Matchmaker Role: Matchmakers are trained NaijaCupid staff or authorised contractors whose role is limited to: reviewing the Client's Intake Brief; searching the NaijaCupid member database; shortlisting compatible profiles; conducting professional outreach to Candidates on the Client's behalf; providing milestone updates; co-ordinating the Date Arranged; and preparing the Session summary. Matchmakers do not provide relationship counselling, psychological services, legal advice, or any service beyond the defined scope.

14.2. Matchmaker Independence: Matchmakers exercise professional judgment in selecting and approaching Candidates. Clients may provide preferences through the Intake Brief but may not direct, dictate, or override a Matchmaker's professional decisions.

14.3. No Verification of Candidates: While Matchmakers work exclusively within the NaijaCupid member database, NaijaCupid does not independently verify the accuracy of any Candidate's profile information, relationship status, employment, income, or any other personal attribute. The Client assumes full personal responsibility for assessing the suitability and safety of any Candidate they agree to meet.

14.4. Safety Responsibility: NaijaCupid strongly encourages all Clients and Candidates to follow our Safety Tips at naijacupid.com.ng/safety-tips. NaijaCupid is not responsible for any harm, injury, financial loss, or damage arising from meetings between Clients and Candidates. Clients and Candidates meet entirely at their own risk.

14.5. Matchmaking Service Availability: NaijaCupid reserves the right to suspend or discontinue the Matchmaking Service at any time. In the event of discontinuation, NaijaCupid's sole obligation to Clients with active, paid Sessions not yet commenced will be a pro-rata refund of the Package fee. No other compensation will be due.

14.6. Concurrent Sessions: A Client may not hold more than one active Matchmaking Session at a time. A second Package purchased while a Session is active will be queued for activation following closure of the first.

14.7. Non-Solicitation of Matchmakers: You agree not to directly solicit, recruit, or hire any NaijaCupid Matchmaker for personal or commercial purposes during the period of any active Matchmaking Session and for 6 months following its closure.

15. Affiliate Programme — Eligibility and Application

15.1. Programme Overview: The NaijaCupid Affiliate Programme is a performance-based referral scheme through which Approved Affiliates earn Commission on Qualifying Conversions generated through their unique Referral Link. Participation in the Programme is strictly voluntary. NaijaCupid makes no representation or guarantee that any Affiliate will earn any specific amount of Commission or achieve any particular result from participation.

15.2. Eligibility to Apply: To be eligible to apply for the Affiliate Programme, you must:

• Be at least 18 years of age;
• Hold an active and verified NaijaCupid user account in good standing;
• Have the legal capacity to enter into a binding agreement under Nigerian law;
• Have a genuine audience, community, or promotional platform through which you can promote NaijaCupid's services;
• Not be a current employee, contractor, or director of LonerTech Ltd or any of its affiliated entities;
• Not currently hold a suspended or terminated NaijaCupid account; and
• Not be a resident of any jurisdiction where participation in affiliate or referral schemes is prohibited by applicable law.

15.3. Application Process: Applications must be submitted through the official Affiliate Programme application form at naijacupid.com.ng/matchmaking-affiliate. You must provide accurate and truthful information in your Application, including your primary promotion channel, approximate audience size, and a description of your audience and promotional approach. NaijaCupid reserves the right to request additional information to verify your Application.

15.4. Approval: NaijaCupid may accept or reject any Application at its absolute discretion and is not obligated to provide reasons for rejection. Submission of an Application does not constitute acceptance into the Programme. You will be notified of the outcome of your Application by email, typically within 24 to 48 hours of submission. Approval of your Application constitutes entry into a binding agreement between you and NaijaCupid on these Terms.

15.5. One Account Per Affiliate: Each individual or entity may hold only one Affiliate Account. You may not apply for or hold multiple Affiliate Accounts. Any attempt to hold multiple Affiliate Accounts will result in termination of all accounts and forfeiture of all accrued Commission without payment.

15.6. Referral Link and Referral Code: Upon approval, NaijaCupid will generate and assign a unique Referral Code and Referral Link to the Affiliate. The Referral Link is the sole mechanism by which Qualifying Conversions are attributed to the Affiliate. NaijaCupid accepts no liability for Qualifying Conversions that are not tracked through the Referral Link due to the Affiliate's failure to use it correctly. The Referral Link is personal to the Affiliate and must not be shared with, sold to, transferred to, or used by any other person or entity.

15.7. Bank Details: Before any Commission payout can be processed, the Approved Affiliate must provide accurate Bank Details through the Affiliate Dashboard. NaijaCupid will not be responsible for any failed, delayed, or misdirected payments arising from inaccurate Bank Details provided by the Affiliate. Bank Details may only be changed by contacting NaijaCupid support at support@naijacupid.com.ng. NaijaCupid may require verification before processing a bank account change.

15.8. Programme Modifications: NaijaCupid reserves the right to modify, suspend, or permanently terminate the Programme, the Commission Rate, the Minimum Payout Threshold, the Cookie Window, or any other Programme terms at any time, with or without notice. Changes will take effect from the date of publication on the Platform or from the date notified to the Affiliate. Continued participation in the Programme after such changes constitutes acceptance of the modified terms. No Commission Rate change will affect Commission already confirmed as earned on Qualifying Conversions prior to the change.

16. Affiliate Programme — Commission and Payments

16.1. Commission Structure: Approved Affiliates earn Commission as follows, at the rates published on the Platform at the time of the Qualifying Conversion:

• Matchmaking Package Commission: A percentage of the net purchase price of any Matchmaking Package (Starter, Standard, or Premium) purchased by a Referred User within the Cookie Window, at the Commission Rate displayed on the Platform.
• Subscription Bonus: An additional percentage of any NaijaCupid subscription plan purchased by a Referred User within the Cookie Window, at the Subscription Bonus Rate displayed on the Platform.

16.2. Qualifying Conversion Requirements: A purchase constitutes a Qualifying Conversion only where all of the following conditions are satisfied:

• The Referred User clicked the Affiliate's Referral Link within the Cookie Window prior to making the purchase;
• The purchase is fully completed and payment is successfully received by NaijaCupid;
• The purchase has not been refunded, reversed, charged back, or cancelled;
• The purchase has not been flagged by NaijaCupid or its payment processor as fraudulent or suspicious;
• The Referred User is a genuine, first-time purchaser of the relevant product who was not already a registered NaijaCupid user at the time of the Referral Click, or who had not previously been referred by the same Affiliate; and
• The Affiliate has not engaged in any conduct that violates Section 17 of these Terms in connection with the referral.

16.3. Self-Referral Prohibited: Affiliates are strictly prohibited from using their own Referral Link to make purchases on their own account, on the account of a family member, or on any account controlled by the Affiliate. Any Commission generated through self-referral or referral of a connected person will be void and forfeited, and the Affiliate's account will be subject to immediate termination.

16.4. Cookie Window Attribution: Commission is attributed based on the last valid Referral Click within the Cookie Window. If a Referred User clicks multiple affiliate Referral Links before making a purchase, Commission will be attributed to the most recent valid Referral Click. NaijaCupid's tracking system is the sole authoritative record of Referral Clicks and Qualifying Conversions. NaijaCupid's determination of whether a Qualifying Conversion occurred and the amount of Commission payable is final and binding.

16.5. Commission Crediting: Confirmed Commission will be credited to the Affiliate's Dashboard balance following verification by NaijaCupid. NaijaCupid reserves a verification period of up to 14 calendar days from the date of the Qualifying Purchase before crediting Commission, during which NaijaCupid may investigate the validity of the conversion. Commission is displayed as "Pending" during this period and does not constitute a confirmed debt until verified and credited.

16.6. Minimum Payout Threshold: Commission will only be paid out once the Affiliate's confirmed Commission balance reaches the Minimum Payout Threshold of ₦10,000 (Ten Thousand Naira), or such other amount as NaijaCupid may set from time to time. Payout requests below the Minimum Payout Threshold will not be processed.

16.7. Payout Request: Once the Minimum Payout Threshold is reached and Bank Details have been provided, the Affiliate may submit a payout request through the Affiliate Dashboard. Payout requests will be processed within 3 to 5 business days of submission, subject to verification. NaijaCupid reserves the right to delay any payout where it has reasonable grounds to suspect fraud, a violation of these Terms, or where a related purchase is under investigation or dispute.

16.8. Payment Method: All Commission payments will be made by bank transfer to the Nigerian bank account specified in the Affiliate's Bank Details. NaijaCupid does not pay Commission in cash, cryptocurrency, gift cards, or any other form. NaijaCupid is not responsible for any bank charges, transfer fees, or deductions applied by the Affiliate's bank.

16.9. Commission Forfeiture: NaijaCupid reserves the right to void and forfeit any Commission — whether Pending or confirmed — without payment, in the following circumstances:

• The Affiliate has breached any provision of these Terms;
• The Affiliate's account is terminated for any reason;
• NaijaCupid determines that the Commission was generated through fraudulent, deceptive, or manipulative means;
• The underlying Qualifying Purchase is refunded, reversed, or charged back;
• The Affiliate has engaged in self-referral or referral of a connected person;
• The Affiliate has generated artificial traffic, clicks, or conversions through bots, incentivised clicking, or any other prohibited means; or
• The Affiliate has used Prohibited Promotional Content as defined in Section 17.

16.10. Tax Obligations: Affiliates are independent contractors, not employees of NaijaCupid. Affiliates are solely responsible for declaring and paying any income tax, withholding tax, value added tax, or any other tax or levy arising from Commission payments received under the Programme, in accordance with Nigerian tax law and the laws of any other applicable jurisdiction. NaijaCupid will not withhold or remit taxes on behalf of Affiliates unless required to do so by applicable law. NaijaCupid may request completion of tax documentation before processing payouts.

16.11. Commission Statements: Affiliates may view their Commission balance, referral history, and payout records through the Affiliate Dashboard. NaijaCupid makes reasonable efforts to ensure Dashboard data is accurate but does not warrant the real-time accuracy of the Dashboard at all times. In the event of any discrepancy, NaijaCupid's internal records shall be the authoritative reference.

17. Affiliate Programme — Obligations and Prohibited Conduct

17.1. General Conduct Obligations: As an Approved Affiliate, you agree to:

• Promote NaijaCupid honestly, accurately, and in a manner consistent with NaijaCupid's brand values;
• Only make claims about NaijaCupid's services that are expressly stated on the Platform;
• Disclose your affiliate relationship with NaijaCupid to your audience in a clear and prominent manner in all Promotional Materials, in accordance with applicable advertising standards and the Federal Competition and Consumer Protection Act 2018;
• Comply with all applicable laws and regulations in all jurisdictions in which you operate, including but not limited to advertising standards, data protection laws, consumer protection laws, and anti-spam laws;
• Ensure that all Promotional Materials are accurate, truthful, and not misleading;
• Promptly update or remove any Promotional Materials that NaijaCupid identifies as inaccurate, misleading, or in breach of these Terms, within 24 hours of notification;
• Not engage in any conduct that could bring NaijaCupid into disrepute or damage its brand or reputation; and
• Maintain the security of your Referral Link and notify NaijaCupid immediately if you become aware that your Referral Link has been compromised or misused.

17.2. Prohibited Promotional Content: Affiliates are strictly prohibited from creating, publishing, distributing, or using any Promotional Materials that:

• Are false, misleading, deceptive, or likely to mislead consumers about the nature, features, pricing, or outcomes of NaijaCupid's services;
• Make guarantees about the Matchmaking Service that NaijaCupid itself does not make, including but not limited to guarantees of finding love, a relationship, or marriage;
• Contain offensive, discriminatory, defamatory, obscene, pornographic, violent, or otherwise objectionable content;
• Target minors or individuals under the age of 18;
• Violate any applicable advertising standard, consumer protection law, or data protection law;
• Use NaijaCupid's trademarks, logos, brand name, or intellectual property in any manner not expressly authorized by NaijaCupid in writing;
• Impersonate NaijaCupid or any of its employees, Matchmakers, or representatives;
• Use spam, unsolicited bulk emails, pop-up advertising, malware, spyware, or any other intrusive or deceptive marketing technique;
• Generate artificial clicks, traffic, or conversions through bots, automated tools, click farms, incentivised clicking, or any other fraudulent means;
• Contain paid advertising that bids on NaijaCupid's brand keywords (including but not limited to "NaijaCupid", "naijacupid.com.ng", or any close variant) on any search engine or advertising platform, without NaijaCupid's prior written consent; or
• Misrepresent the Affiliate's relationship with NaijaCupid, including claiming to be an employee, partner, or official representative of NaijaCupid.

17.3. Data Protection Obligations: Affiliates must not collect, store, or process personal data of any user or potential user in connection with the Affiliate Programme without that person's explicit consent and in full compliance with the Nigeria Data Protection Regulation (NDPR) and any other applicable data protection law. Affiliates must not share any personal data of referred users with NaijaCupid except as expressly required for Programme participation. Affiliates must maintain appropriate technical and organisational measures to protect any personal data they collect or process in connection with the Programme.

17.4. Non-Compete Obligation: While participating in the Programme and for a period of 6 months following termination of your Affiliate Account for any reason, you agree not to simultaneously participate in an affiliate or referral programme for any direct competitor of NaijaCupid's Matchmaking Service operating in Nigeria. NaijaCupid reserves the right to terminate your Affiliate Account immediately and without payment of outstanding Commission if it discovers a breach of this obligation.

17.5. Monitoring and Audit Rights: NaijaCupid reserves the right to monitor all Promotional Materials, Referral Clicks, and Qualifying Conversions at any time. NaijaCupid may request copies of any Promotional Materials, evidence of disclosures, or any other information relating to the Affiliate's promotional activities, and the Affiliate must comply with such a request within 5 business days. Failure to comply with a monitoring or audit request may result in suspension of Commission payments and termination of the Affiliate Account.

17.6. Confidentiality: Affiliates must keep confidential all non-public information they receive about NaijaCupid's business, Commission Rates, user data, Matchmaking Service operations, and any other information designated as confidential by NaijaCupid. This obligation survives termination of the Affiliate Account for a period of 3 years.

18. Affiliate Programme — Termination and Liability

18.1. Termination by Affiliate: An Affiliate may terminate their participation in the Programme at any time by contacting NaijaCupid at support@naijacupid.com.ng. Upon voluntary termination, any confirmed Commission balance that has reached the Minimum Payout Threshold will be paid to the Affiliate's registered bank account within 30 business days of termination, subject to verification and provided no breach of these Terms is identified. Any Pending Commission not yet confirmed at the time of termination will be forfeited.

18.2. Termination by NaijaCupid: NaijaCupid may terminate or suspend an Affiliate's participation in the Programme immediately and without notice, and may withhold or forfeit all accrued Commission, in any of the following circumstances:

• Breach of any provision of Sections 15 to 17 of these Terms or the General Terms of Service;
• Suspected or confirmed fraudulent, deceptive, or manipulative conduct in connection with the Programme;
• Generation of artificial Referral Clicks or Qualifying Conversions through prohibited means;
• Use of Prohibited Promotional Content;
• Self-referral or referral of connected persons;
• Suspension or termination of the Affiliate's NaijaCupid user account for any reason;
• Failure to comply with a monitoring or audit request within the required timeframe;
• Any conduct that NaijaCupid determines, in its sole discretion, to be harmful to its brand, reputation, or business interests;
• Any false or misleading information provided in the Application or to NaijaCupid at any time; or
• NaijaCupid's decision to discontinue the Programme in its entirety.

18.3. Effect of Termination on Commission: Upon termination of the Affiliate Account by NaijaCupid for breach of these Terms, all Pending and confirmed Commission balances are immediately forfeited and no payment will be made. Upon termination of the Programme in its entirety without cause attributable to the Affiliate, NaijaCupid will use reasonable endeavours to pay confirmed Commission balances that have reached the Minimum Payout Threshold, subject to a maximum payment obligation of the confirmed Commission balance at the date of Programme discontinuation.

18.4. No Guarantee of Programme Continuity: NaijaCupid makes no warranty, representation, or guarantee that the Affiliate Programme will continue to operate for any period of time. NaijaCupid's decision to modify, suspend, or terminate the Programme shall not give rise to any claim for compensation, damages, or loss of anticipated earnings by any Affiliate.

18.5. Independent Contractor Status: Affiliates participate in the Programme as independent contractors. Nothing in these Terms creates any employment, agency, partnership, joint venture, franchise, or fiduciary relationship between NaijaCupid and any Affiliate. Affiliates have no authority to enter into contracts, make representations, or incur liabilities on behalf of NaijaCupid.

18.6. Affiliate Indemnity: You agree to indemnify, defend, and hold harmless LonerTech Ltd, its directors, officers, employees, agents, affiliates, and service providers from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your Promotional Materials or any content you create, publish, or distribute in connection with the Programme;
• Your violation of any applicable law or advertising standard in connection with the Programme;
• Any false or misleading claim you make about NaijaCupid's services to any person;
• Any data protection breach arising from your activities as an Affiliate;
• Your breach of any provision of Sections 15 to 18 of these Terms; or
• Any third-party claim arising from your promotion of the Programme.

18.7. Limitation of NaijaCupid's Liability to Affiliates: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAIJACUPID'S TOTAL LIABILITY TO ANY AFFILIATE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE AFFILIATE PROGRAMME SHALL NOT EXCEED THE TOTAL CONFIRMED COMMISSION EARNED BY THE AFFILIATE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NAIJACUPID SHALL NOT BE LIABLE TO ANY AFFILIATE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF ANTICIPATED COMMISSION, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITY, HOWSOEVER ARISING.

18.8. Dispute Resolution for Affiliate Disputes: Any dispute relating to Commission calculations, tracking discrepancies, or Programme administration must first be raised in writing with NaijaCupid at support@naijacupid.com.ng within 30 days of the event giving rise to the dispute. Disputes raised outside this window will not be considered. NaijaCupid will endeavour to respond to Commission disputes within 14 business days. If the dispute cannot be resolved informally, it shall be subject to the dispute resolution procedures in Section 27 of these Terms.

19. Intellectual Property Rights

19.1. Platform Ownership: The Service, including all software, text, images, graphics, logos, icons, photographs, audio clips, video clips, data compilations, the Matchmaking Service methodology, and the arrangement thereof (excluding User Content), is the exclusive property of LonerTech Ltd and is protected by Nigerian and international intellectual property laws.

19.2. Trademarks: "NaijaCupid" and all related logos, product and service names, designs, and slogans are trademarks of LonerTech Ltd. Affiliates and all Users may not use these marks without our prior written permission. Affiliates are expressly prohibited from registering any domain name, social media handle, or business name that incorporates the NaijaCupid trademark or any confusingly similar variation.

19.3. Limited License to Affiliates: NaijaCupid grants Approved Affiliates a limited, non-exclusive, non-transferable, revocable license to use NaijaCupid's name and approved marketing materials solely for the purpose of promoting the Affiliate Programme in accordance with these Terms. This license is immediately revoked upon termination of the Affiliate's participation in the Programme for any reason.

19.4. General User License: We grant all Users a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

19.5. Restrictions: You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the Service or any portion thereof — including any Matchmaking methodology, processes, or templates — without our express written consent.

19.6. Copyright Complaints: If you believe any Content on the Platform infringes your copyright, please notify us at legal@naijacupid.com.ng.

20. Privacy and Data Protection

20.1. Privacy Policy: Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

20.2. NDPR Compliance: We process personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable data protection laws.

20.3. Matchmaking Data: By purchasing a Matchmaking Package and submitting an Intake Brief, you consent to NaijaCupid processing your personal data for the purpose of delivering the Matchmaking Service. Session summaries, Candidate information, and Matchmaker notes are retained for up to 12 months after Session closure for dispute resolution and quality assurance purposes.

20.4. Affiliate Data: By participating in the Affiliate Programme, you consent to NaijaCupid collecting, storing, and processing your personal data — including your name, contact details, Bank Details, and Commission records — for the purpose of administering the Programme, processing payouts, and complying with applicable legal obligations. This data will be retained for a period of 6 years following termination of your Affiliate Account for tax and audit purposes, unless a longer retention period is required by law.

20.5. Data Collection: By using the Service, you consent to our collection, use, and disclosure of your personal information as described in our Privacy Policy.

21. Third-Party Services and Links

21.1. External Links: The Service may contain links to third-party websites, applications, or services. These links are provided for convenience only.

21.2. No Endorsement: We do not endorse, control, or assume responsibility for any third-party sites, content, products, or services. Your use of third-party services is at your own risk.

21.3. Payment Processors: Payment processing services are provided by third-party payment processors. We are not responsible for the acts or omissions of these processors. Transaction failures, delays, or errors attributable to payment processors do not entitle the Client to any refund of Matchmaking Package fees unless the payment was not successfully received by NaijaCupid, nor do they entitle an Affiliate to any Commission payment that was not triggered by a valid Qualifying Conversion.

22. Disclaimers and Warranties

22.1. "AS IS" Service: THE SERVICE — INCLUDING THE MATCHMAKING SERVICE AND THE AFFILIATE PROGRAMME — IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

22.2. No Relationship Guarantee: NAIJACUPID EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE MATCHMAKING SERVICE WILL RESULT IN THE CLIENT FINDING A ROMANTIC PARTNER, ENTERING A RELATIONSHIP, OR ACHIEVING ANY PERSONAL OR EMOTIONAL OUTCOME.

22.3. No Earnings Guarantee: NAIJACUPID EXPRESSLY DISCLAIMS ANY WARRANTY THAT PARTICIPATION IN THE AFFILIATE PROGRAMME WILL RESULT IN ANY MINIMUM LEVEL OF COMMISSION EARNINGS OR THAT ANY SPECIFIC NUMBER OF QUALIFYING CONVERSIONS WILL BE GENERATED BY ANY AFFILIATE.

22.4. No Guarantee of Accuracy: We make no warranties or representations about the accuracy, completeness, or reliability of any Content, user profiles, Candidate information, Dashboard data, or communications on the Platform.

22.5. User Verification: We do not conduct criminal background checks on users or Candidates. We make no representations or warranties regarding user conduct, identity verification, or user safety.

22.6. User Responsibility: You are solely responsible for evaluating the accuracy, reliability, and suitability of all information accessed through the Service. You assume all risks associated with your use of the Service and interactions with other users.

23. Limitation of Liability

23.1. Maximum Liability: TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW, IN NO EVENT SHALL LONERTECH LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, MATCHMAKERS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, THE MATCHMAKING SERVICE, OR THE AFFILIATE PROGRAMME.

23.2. Cap on Damages: OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE — INCLUDING THE MATCHMAKING SERVICE AND THE AFFILIATE PROGRAMME — SHALL NOT EXCEED: (A) FOR MATCHMAKING SERVICE CLAIMS, THE MATCHMAKING PACKAGE FEE ACTUALLY PAID FOR THE SESSION GIVING RISE TO THE CLAIM; (B) FOR AFFILIATE PROGRAMME CLAIMS, THE TOTAL CONFIRMED COMMISSION EARNED BY THE AFFILIATE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (C) FOR ALL OTHER CLAIMS, THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIVE THOUSAND NAIRA (NGN 5,000), WHICHEVER IS GREATER.

23.3. Excluded Damages: This includes damages for loss of profits, anticipated Commission earnings, goodwill, data, emotional distress, or other intangible losses, even if we have been advised of the possibility of such damages.

23.4. User and Candidate Interactions: We are not liable for any harm, injury, damage, or loss arising from your interactions with other users or Candidates arranged through the Matchmaking Service, whether online or offline.

23.5. Matchmaking Outcome: We are not liable for any loss, distress, or damage arising from a Matchmaking Session not resulting in a Date Arranged, a Date Arranged not leading to a relationship, or a Candidate's conduct before, during, or after a Date Arranged.

23.6. Technical Issues: We are not responsible for any technical failures, service interruptions, data loss, or tracking errors that may occur during your use of the Service, provided such failures are not solely and directly attributable to NaijaCupid's negligence.

23.7. Statutory Rights: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under Nigerian law.

24. Indemnification

24.1. Your Indemnity: You agree to indemnify, defend, and hold harmless LonerTech Ltd, its directors, officers, employees, Matchmakers, contractors, agents, affiliates, licensors, and service providers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your User Content or any content you submit, post, or transmit through the Service;
• Your interactions with other users or Candidates, whether online or at a Date Arranged;
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights;
• Your use or misuse of the Service, the Matchmaking Service, or the Affiliate Programme;
• Any Promotional Materials you create, publish, or distribute as an Affiliate;
• Any false or misleading claims you make about NaijaCupid's services;
• Any data protection breach arising from your activities as an Affiliate;
• Any unjustified chargeback, payment dispute, or fraudulent payment claim you initiate; or
• Any harm suffered by any person as a result of your conduct in connection with the Service or the Programme.

24.2. Defense Control: We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us.

24.3. Survival: This indemnification obligation will survive termination of these Terms and your use of the Service.

25. Termination and Suspension

25.1. Termination by You: You may terminate your account at any time through your account settings. Account termination does not relieve you of any obligations incurred prior to termination and does not entitle you to any refund of Matchmaking Package fees or payment of unconfirmed Commission.

25.2. Termination by Us: We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms, including any provision relating to the Matchmaking Service or the Affiliate Programme;
• Suspected fraudulent, abusive, or illegal activity;
• Extended periods of inactivity;
• Requests by law enforcement or government agencies;
• Unexpected technical issues or security concerns;
• Non-payment of fees or charges, or initiation of an unjustified chargeback; or
• Any conduct we determine, in our sole discretion, to be harmful to the Service, other users, the Affiliate Programme, or third parties.

25.3. Effect of Termination on Matchmaking Sessions: If your account is terminated for breach of these Terms while a Matchmaking Session is active, the Session will be immediately and permanently closed without refund.

25.4. Effect of Termination on Affiliate Account: If your account is terminated for any reason, your Affiliate Account will be simultaneously terminated. Termination of the Affiliate Account for breach of these Terms will result in immediate forfeiture of all Pending and confirmed Commission without payment. Refer to Section 18.1 for voluntary termination by the Affiliate.

25.5. Effect of Termination Generally: Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated Content. We are not obligated to retain or provide copies of your Content, Session summaries, or Commission records after termination, except as required by applicable law.

25.6. Survival: Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, matchmaking service terms, affiliate programme terms, governing law, and dispute resolution will survive termination of these Terms.

26. Governing Law

26.1. Nigerian Law: These Terms and your use of the Service — including the Matchmaking Service and the Affiliate Programme — shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

26.2. Applicable Legislation: Your use of the Service is subject to compliance with all applicable Nigerian laws, including but not limited to:

• Nigeria Data Protection Regulation (NDPR) 2019
• Federal Competition and Consumer Protection Act 2018
• Cybercrimes (Prohibition, Prevention, etc.) Act 2015
• Personal Income Tax Act (as amended)
• Electronic Transactions Bill (when enacted)

27. Dispute Resolution and Arbitration

27.1. Informal Resolution: Before initiating formal dispute resolution proceedings, you agree to first contact us at legal@naijacupid.com.ng and attempt to resolve the dispute informally through good-faith negotiation for a period of at least thirty (30) days. This applies to all disputes, including those arising from the Matchmaking Service and the Affiliate Programme.

27.2. Matchmaking Complaints Procedure: Complaints specifically relating to the Matchmaking Service must be submitted in writing to legal@naijacupid.com.ng within 14 calendar days of the earlier of: (a) Session closure; or (b) the event giving rise to the complaint. Complaints submitted outside this window will not be considered, except as required by applicable Nigerian law.

27.3. Affiliate Dispute Procedure: Disputes relating to the Affiliate Programme must be submitted in writing to support@naijacupid.com.ng within 30 days of the event giving rise to the dispute. Disputes submitted outside this window will not be considered.

27.4. Arbitration Agreement: If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms — including the Matchmaking Service terms and the Affiliate Programme terms — shall be resolved by binding arbitration.

27.5. Arbitration Rules: Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004, or any successor legislation.

27.6. Arbitration Venue: The seat of arbitration shall be Lagos, Nigeria. The arbitration shall be conducted in English.

27.7. Arbitrator: The dispute shall be resolved by a single arbitrator mutually agreed upon by the parties. If the parties cannot agree within thirty (30) days, an arbitrator shall be appointed by the Lagos Court of Arbitration (International) or another recognized arbitration institution.

27.8. Arbitration Costs: Each party shall bear its own costs of arbitration, including legal fees, unless otherwise determined by the arbitrator.

27.9. Class Action Waiver: You agree that any arbitration or legal proceedings shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration, including in relation to the Matchmaking Service or the Affiliate Programme.

27.10. Exceptions to Arbitration: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights, breach of Matchmaking confidentiality obligations, or breach of Affiliate Programme non-compete or confidentiality obligations.

27.11. Jurisdiction: To the extent that arbitration does not apply, you agree that the courts of Lagos State, Nigeria shall have exclusive jurisdiction over any disputes arising from these Terms.

28. General Provisions

28.1. Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Service, constitute the entire agreement between you and LonerTech Ltd regarding the Service — including the Matchmaking Service and the Affiliate Programme — and supersede all prior agreements, representations, and understandings.

28.2. Amendments: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a revised "Last Updated" date, and may also notify you via email or in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. For changes materially affecting the Matchmaking Service, existing paid Sessions will be governed by the Terms in force at the time of purchase. For changes to Affiliate Commission Rates, changes will take effect from the date notified and will not affect Commission already confirmed on prior Qualifying Conversions.

28.3. Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of LonerTech Ltd.

28.4. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The non-refundable payment terms for Matchmaking Packages and the Commission forfeiture provisions for the Affiliate Programme shall be treated as independent and severable provisions.

28.5. Assignment: You may not assign or transfer these Terms or your rights hereunder — including any Matchmaking Session, Affiliate Account, Referral Link, or accrued Commission — without our prior written consent. We may assign these Terms and any rights hereunder without restriction.

28.6. No Agency: No agency, partnership, joint venture, employment, or franchise relationship is created between you and LonerTech Ltd by these Terms or your use of the Service. Matchmakers are not agents of the Client. Affiliates are independent contractors and not employees, agents, or partners of NaijaCupid.

28.7. Force Majeure: We shall not be liable for any failure or delay in performance under these Terms — including in the provision of the Matchmaking Service or the processing of Affiliate Commission payments — due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, civil unrest, telecommunications failures, epidemics, power outages, banking system failures, or failures of third-party service providers.

28.8. Notices: All notices to you will be provided via email to the address associated with your account or by posting on the Platform. Notices to us should be sent to the contact information provided in Section 29.

28.9. Language: These Terms are drafted in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translated version, the English version shall prevail.

28.10. Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

28.11. Third-Party Beneficiaries: These Terms do not confer any third-party beneficiary rights.

28.12. Electronic Communications: By using the Service, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
